Infusionsoft is seeking a Legal Counsel to serve as the “right hand” for the General Counsel. This is a unique opportunity to join our growing legal team on the ground floor and help shape the legal function of a fast-growing, exciting and highly ethical company that understands it needs legal guidance to grow to the next level. This position will focus on contracts and compliance matters while, in true generalist fashion, taking on other responsibilities as needed. You’ll own contracts of all types, and thus will need to build relationships with all other departments and learn the business at a deep level. Spearheading risk management, information governance and innovation of the legal function and processes will also be on your plate. You will also play a role in corporate housekeeping, including due diligence and regulatory filings, help with Board documents and communications, kick off and manage important compliance programs, partner with the team for special projects like financing and mergers & acquisitions, and play a key role in private stock transactions. This role reports to and works frequently with our General Counsel, and the legal team enjoys the support of a shared executive administrative assistant. Draft, review and negotiate all company agreements, including complex agreements, as needed by the business, and design, manage and constantly improve contracting and other legal department processes.
Effectively and efficiently execute on stock options, insurance and information governance/compliance programs to ensure maximum benefit and minimum risk to the company and Infusionites in these areas.
Assist with corporate, securities, intellectual property, litigation, international and other legal matters as required.

Draft, negotiate, gather, manage and administer all contracts of the company
Review, assess and improve contracting processes, including internal review, authorization and administration processes as well as customer-facing sales, service, fulfillment and related contracting processes
Work with Finance to ensure stock options processes are followed in a timely fashion
Serve as an ambassador within Infusionsoft of the legal department, learning about new developments as they happen and encouraging leaders of all stripes to bring legal issues to us early and often
Specifically lead the legal department’s relationship with the Sales, and Partners, Operations and Product teams
Train leaders and Infusionites on a variety of legal topics
Manage the nuts and bolts of our insurance coverages, including our annual renewal process
Be the expert in the legal department’s tools of the trade, including stock option and contracts management systems, e-signatures, etc.


A law degree and 3 years of relevant experience, preferably in-house
Substantial experience negotiating, drafting and managing a variety of commercial contracts and managing a contracts management system
Terrific skills with Microsoft Word, Excel and PowerPoint
Strong communication and personal interaction skills
Demonstrated ability to analyze legal guidance and apply it to business needs
Prior work with at least some of these: insurance, stock options, corporate, securities, intellectual property, and/or compliance programs
